Marina Health — Maritime Medical Documentation System

Parties

The parties to this agreement (the “Agreement”) are Marina Health Denmark ApS, CVR 45619648, (“Marina”) and the undersigned company requesting access to the service, referred to in this agreement as the “User”.

Marina and the User are hereinafter individually referred to as a “Party” or collectively the “Parties”.

Service

Marina Health Denmark ApS provides a web portal accessible at marinahealth.eu, a Class I Medical Device (MDR 2017/745) that assists maritime personnel in assessing and documenting medical conditions at sea through structured assessment procedures (the “Service”). The Service guides users through medical interviews, documents them in multiple languages, and generates reports for remote healthcare consultation. The Service is a documentation tool only and does not diagnose, prescribe treatment, or make clinical decisions. All diagnosis and treatment decisions must be made by qualified healthcare professionals. Final medical responsibility always lies with the medical personnel. The Service must not be used for emergency/life-threatening situations.

Subscription and Subscription Fee

The Service is a subscription product and the User can subscribe for multiple subscriptions, thereby creating a new user. The phrase “a new subscription” should therefore be understood as “a new user” and vice versa.

The User must pay a subscription fee for each subscription that has been agreed to with Marina Health Denmark ApS. The subscription fee will run from the time a subscription has been made available to the User.

Maintenance

Marina may perform scheduled maintenance with 48 hours advance notice. The Service will remain accessible during maintenance except for brief interruptions.

Subscription Term and Payment Terms

For each subscription, the User must pay for one year in advance. Unless the User terminates one or more subscriptions, cf. clause 6 or the Agreement in its entirety, cf. clause 6, the non-terminated subscription(s) will be automatically renewed for one year.

When the first user is made available to the User, Marina shall send an invoice to the User as soon as possible and no later than two weeks thereafter. The invoice for renewal of the subscription will be sent 90 days before the new subscription period begins.

For additional subscriptions, the invoice will be sent by the end of the month of which the new user(s) was/were created.

If the User fails to pay on time, this is considered a material breach of contract, cf. clause 6. In such case, Marina is entitled to close the access until payment has been effected.

Termination

The User may terminate one or more subscriptions or this Agreement in its entirety with a notice of 90 days. Such termination will not result in reimbursement of subscription fee already paid. Marina may terminate this Agreement with a notice of 30 days. If Marina terminates the Agreement in accordance with this clause 6, the User will be reimbursed for excess subscription fee already paid.

Breach of Contract

Either Party may terminate this Agreement without notice if the other Party commits a material breach. It is considered a breach of contract if the User breaches any provision of the terms or act in a manner that clearly shows that the User does not intend to, or are unable to, comply with the terms.

Termination in accordance with this clause 7 is conditional upon the Party wanting to claim breach of contract having communicated in writing to the other Party, detailing the nature of the breach and stating that this Agreement will be terminated unless the breach is remedied within ten days.

License to Use

A User may use the Service but may not re-sell it to third parties without obtaining prior permission from Marina. The Service is intended for use by maritime medical personnel and seafarers as described in clause 2 and the Instructions for Use. Any user, including the User, must have basic technical proficiency with web browsers and mobile devices. Minimum system requirements are specified in the Instructions for Use.

Personal Access

The username and password are for personal use only, and a User must not distribute log in credentials to third parties. The User is responsible for ensuring compliance with applicable data protection laws including GDPR when using the Service to process patient health data. Marina processes special category personal data as described in the Privacy Policy available at marinahealth.eu or by contacting dpo@marinahealth.eu.

The User agrees to indemnify Marina against claims brought by any person, the User have provided access to the Service to (i.e. distributed a username and password to).

Intellectual Property Rights

Marina's intellectual property rights, including, but not limited to, names, trademarks, logos, source codes, trade secrets, user interface, generated medical reports and other intellectual property or proprietary rights shall at all times be and remain the exclusive property of Marina. The User may not use Marina's intellectual property rights without the prior written consent of Marina.

Generated medical reports may be used by the User in accordance with applicable maritime and medical record-keeping regulations.

The User is permitted to use the Service only for legitimate business purposes and shall not copy, modify, create derivative works of, publicly display, republish any part of the Service or other intellectual property rights without prior written consent by Marina.

Limitation of Liability

Marina's liability shall be limited to the last 12 months of subscription fees paid by the User, calculated from the date of the User's notice that it will be making a claim against Marina. If the User's subscription period has been less than 12 months, Marina's liability is limited to the months during which Marina has provided the Service. For example, if Marina has provided the Service for six months, Marina's liability is limited to monetary value of six months' subscription fee.

Marina is not liable for operating loss, loss of profits or any other indirect loss.

Marina Health Denmark ApS is not liable for loss of data not saved by users, which means that the User is responsible for saving generated PDF reports to their devices before closing sessions.

As a Class I medical device with supervised assistance model requiring mandatory medical officer review, the Service does not make autonomous clinical decisions. All clinical decisions remain the responsibility of qualified healthcare professionals, cf. clause 2.

Change in Contents

Marina may, at its sole discretion, update the Service software to improve functionality, security, or compliance with regulatory requirements. Software updates are deployed automatically via server-side updates. The User will be notified of significant updates via email and in-app notifications at least 30 days in advance if changes affect browser compatibility.

Disclaimer

The Service is a complex software system that may have bugs and is not a substitute for professional medical judgment or advice. The Service is provided to the User as-is, without any warranty. Although all possible efforts have been made to ensure correctness and completeness of information contained in this Service, Marina is not responsible for any errors or omissions, nor held liable for any actions taken as a result of information retrieved from this Service. Without limiting the foregoing, Marina does not warrant that the User's access to the Service will be uninterrupted or error-free. The User should always verify medical information with qualified healthcare professionals and consult official sources of medical guidelines.

The Service uses AI processing (voice transcription, translation, medical data extraction) with mandatory medical officer review. All AI outputs require review and approval before use. No autonomous clinical decisions are made by the Service.

The User must comply with all contraindications listed in the Instructions for Use, including but not limited to: (1) not using the Service for emergency/life-threatening situations, (2) not using as the sole means of medical assessment without professional medical oversight.

Assignment of Rights and Duties

The User may not without written consent from Marina, assign its rights or duties under this Agreement to any third party.

Client Relationship

Marina may disclose that the User is a client and use the logo of the user's company on its website, unless the User opts out by notifying Marina in writing.

Law and Venue

Any dispute related to this Agreement shall be settled by a Danish court in accordance with the general Danish rules of law, except for the Danish rules on choice of law.

Data Protection and Privacy

Marina processes personal data including special category health data in accordance with the General Data Protection Regulation (GDPR) and the Danish Data Protection Act. The Service operates a privacy-by-design architecture with minimal data retention (<5–15 seconds for AI processing, session-based storage only).

The User is the data controller for patient health data processed through the Service. Marina acts as data processor. A Data Processing Agreement is available and must be executed before use of the Service for processing patient data.

Complete data protection information is provided in the Privacy Policy available at marinahealth.eu or by contacting dpo@marinahealth.eu. The User must inform patients about data processing in accordance with GDPR Articles 13–14.

Incident Reporting

The User shall report any serious incident involving the Service to Marina immediately via regulatory@marinahealth.eu. A serious incident includes any malfunction or deterioration that could cause or may have caused death or serious deterioration in health.

The User shall also report serious incidents to their national competent authority as required by MDR 2017/745. Contact information for national authorities is provided in the Instructions for Use. Users shall report software errors, malfunctions, or unexpected behavior to support@marinahealth.eu.

Support and Maintenance

Marina provides technical support via support@marinahealth.eu with response within 2 business days. The Service requires stable internet connectivity and may be temporarily unavailable due to maintenance, updates, or technical issues. In case of Service unavailability, the User may use alternative documentation methods including manual paper-based records and physical medical handbooks.

Instructions for Use

Complete Instructions for Use (User Manual) is available at marinahealth.eu and upon request from support@marinahealth.eu. The User shall read and understand the Instructions for Use before using the Service, particularly the safety information, contraindications, and remaining risks sections. The Instructions for Use contains system requirements, browser compatibility information, and operational guidance.
